Terms of Service

1. Operator Identification

This service, marketed under the name "Torreador," is operated by:

Logitale LLC is registered as an information technology company under Vietnamese law. It is not registered as a financial institution, payment service provider, payment intermediary, or virtual asset service provider (VASP).

2. Nature and Qualification of the Service

2.1 What Torreador Is

Torreador is a technical software tool that generates dynamic QR codes and temporary payment information pages. It encodes user-supplied parameters (wallet address, amount, blockchain network, and cryptocurrency) into standardized formats readable by cryptocurrency wallet applications.

Torreador qualifies as a digital technical service provider ("nhà cung cấp dịch vụ kỹ thuật số"), not a payment service provider. Its activities fall under VSIC codes 6201 (computer programming), 6209 (other IT services), and 6311 (data processing and hosting). The Service functions as a data formatting and presentation tool with no control over funds.

2.2 What Torreador Does NOT Do

Torreador expressly does not perform any of the following activities:

• Does not hold, transfer, or convert any funds. No cryptocurrency or fiat currency passes through any system, server, or account controlled by Logitale LLC.
• Does not generate, create, or manage any cryptocurrency wallet. Users must provide their own wallet addresses. Torreador has no capability to create wallets.
• Does not access any private key. Transaction signing occurs exclusively within the end user's wallet application. Torreador never requests, receives, stores, or processes any private key or seed phrase.
• Does not initiate, construct, sign, or broadcast any transaction. Temporary payment pages display parameters only. The paying user's wallet independently constructs, signs, and broadcasts the transaction to the relevant blockchain network.
• Does not perform any cryptocurrency-to-fiat or fiat-to-cryptocurrency conversion. No exchange or conversion service of any kind is provided.
• Does not take any commission, fee, or percentage on transactions. Revenue is derived solely from optional subscription services and API access fees.
• Does not act as a payment intermediary ("trung gian thanh toán"). Torreador does not connect, transmit, or process electronic payment data between payment service providers and users, as defined under Vietnamese law (Khoản 10, Điều 6, Luật NHNN 2010; Nghị định 52/2024/NĐ-CP).

2.3 Blockchain Monitoring

The optional dashboard subscription provides blockchain monitoring functionality. This consists exclusively of reading publicly available data from public blockchain networks (e.g., via third-party services such as Alchemy). No private data is accessed, and no transaction is initiated or influenced through this monitoring.

3. User Responsibilities and Compliance

3.1 Regulatory Compliance

Users are solely and entirely responsible for ensuring that their use of Torreador complies with all applicable laws, regulations, and directives in their jurisdiction. This includes, without limitation:

• Payment regulations: Cryptocurrency is not a legal means of payment in Vietnam (Nghị định 52/2024/NĐ-CP, Article 7; Chỉ thị 02/CT-NHNN of 2018). Users operating within Vietnam must assess their own legal exposure.
• Tax obligations: Users are solely responsible for any tax reporting, declarations, or payments arising from cryptocurrency transactions facilitated through their own wallets.
• Anti-money laundering (AML): Users must not use Torreador for money laundering, terrorist financing, or any illicit activity. Logitale LLC reserves the right to suspend access if it becomes aware of suspicious activity.
• Licensing requirements: Users who are merchants or service providers must ensure that accepting cryptocurrency payments is lawful in their jurisdiction and that they hold any necessary licenses or authorizations.

3.2 Accuracy of Parameters

Users are solely responsible for the accuracy of all parameters entered into Torreador (wallet address, amount, blockchain network, cryptocurrency type). Logitale LLC bears no responsibility for transactions sent to incorrect addresses, on incorrect networks, or in incorrect amounts due to user error.

3.3 Prohibited Uses

Users shall not use Torreador:

• For any activity that violates applicable laws or regulations
• To facilitate money laundering, terrorist financing, or sanctions evasion
• To circumvent any regulatory requirement in any jurisdiction
• To process transactions involving proceeds of crime
• To impersonate another person or entity
• To interfere with or disrupt the Service or its infrastructure

4. Limitation of Liability

4.1 No Financial Responsibility

Logitale LLC exercises no control over any cryptocurrency transaction. Once parameters are displayed via a QR code or temporary payment page, the transaction is entirely between the payer and the payee, executed through their respective wallet applications and the relevant blockchain network. Logitale LLC is not a party to any such transaction and bears no liability for:

• Loss of funds due to incorrect parameters entered by the user
• Blockchain network failures, delays, or congestion
• Wallet application malfunctions
• Cryptocurrency price volatility
• Any regulatory action taken against a user by any authority
• Unauthorized access to a user's wallet or private keys

4.2 Service Availability

Torreador is provided "as is" and "as available." Logitale LLC does not guarantee uninterrupted or error-free operation. The Service may be suspended, modified, or discontinued at any time without prior notice.

4.3 Maximum Liability

To the maximum extent permitted by applicable law, Logitale LLC's total aggregate liability arising from or related to these Terms or the use of the Service shall not exceed the total fees paid by the user to Logitale LLC during the twelve (12) months preceding the event giving rise to the claim.

5. Intellectual Property

The Torreador name, logo, software, interfaces, and all related materials are the property of Logitale LLC or its licensors. No license or right is granted to users beyond the limited right to use the Service in accordance with these Terms.

6. Data and Privacy

Logitale LLC's collection and processing of personal data is governed by its Privacy Policy, available at toreador.io/privacy. By using the Service, users acknowledge and consent to such collection and processing.

7. Modifications

Logitale LLC reserves the right to modify these Terms at any time. Material changes will be communicated through the Service interface or by email. Continued use of the Service after notification constitutes acceptance of the modified Terms.

8. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Socialist Republic of Vietnam. Any dispute arising from or related to these Terms shall be submitted to the competent courts of Hồ Chí Minh City, Vietnam.

9. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
